The deal, in plain English.

These Terms apply to everyone using Freemi Books — solo founders, fast-growing SMEs, and the accountants who service them.

1. Acceptance

By creating a Freemi Books workspace or signing in, you agree to these Terms, the Privacy Policy, and any subscription terms shown at checkout. If you're accepting on behalf of a company, you confirm you have the authority to bind that company.

2. The service

Freemi Books is a software-as-a-service bookkeeping platform for Irish businesses. It includes bank-feed sync via TrueLayer, AI categorisation, VAT3 / Form 11 / CT1 prep, payroll workflow, and a practice surface for accountants. We'll keep adding features; nothing in these Terms locks the product to its current shape.

3. Your account

  • Keep your sign-in credentials confidential. You're responsible for activity in your workspace.
  • Provide accurate company and contact information; update it when it changes.
  • One person per login. Don't share accounts — invite a teammate instead.

4. Acceptable use

Don't do anything illegal with Freemi Books, don't attempt to break into other workspaces, don't resell the platform, and don't use it to launder money or evade tax. We can suspend or terminate workspaces that breach these basics. Reverse-engineering for the purpose of competing with us is also out.

5. Bank connections via TrueLayer

Open Banking is provided by TrueLayer Limited under PSD2. You consent to TrueLayer's terms when you authorise a bank connection. Freemi reads data via TrueLayer; we never receive your bank credentials. You can revoke access at any time from Settings → Bank connection or your bank's app.

6. Billing

  • Subscription fees are billed monthly or annually in advance, depending on the plan you pick.
  • 30-day free trial — no card required to start, you only pay when you choose to continue.
  • Annual plans pre-paid in full; we'll refund unused months pro-rata if you cancel for cause (data loss, prolonged outage, breach of these Terms by us).
  • Late payment: we'll email you, then pause your workspace if not resolved within 14 days. Data is retained for the standard accounting window even if billing lapses.
  • All prices exclude VAT. Irish VAT (currently 23%) is added at checkout where applicable.

7. Intellectual property

Freemi Books, the AI assistant, the underlying code, models, and brand are ours. Your bookkeeping data is yours — we hold a limited licence to process it solely to provide and improve the service. Aggregated, anonymised usage statistics may be used for product analytics.

8. The Freemi AI assistant

Freemi AI surfaces suggestions, drafts journals, and answers questions. It can be wrong. Treat its output as a competent first draft, not professional advice. You're responsible for reviewing and approving the books before filing with Revenue or anyone else.

9. Liability

To the maximum extent permitted by law, Freemi's total liability under these Terms is capped at the fees you paid us in the 12 months before the claim arose. We're not liable for indirect, special, or consequential losses (loss of profit, goodwill, business opportunity). Nothing here excludes liability for death, personal injury caused by negligence, fraud, or anything else that can't legally be excluded.

10. Termination

You can cancel any time from your workspace settings — your subscription ends at the close of the current billing period. We can terminate for material breach with 30 days' notice or immediately for unlawful activity. On termination you can export your bookkeeping data within 90 days, after which we'll retain only what Irish tax law requires.

11. Governing law

These Terms are governed by Irish law. The courts of Ireland have exclusive jurisdiction.
